This Agreement shall be construed in accordance with the laws of the State of Texas, and the parties irrevocably consent to bring any action to enforce this Agreement in the United States federal and Texas state courts located in the County of Collin, Texas. The parties also waive any defenses to jurisdiction or venue to lawsuits brought by Fusion Home Fashion in the United States federal and Texas sta te courts located in the County of Collin, Texas.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof, and supersedes all previous written or oral agreements between the parties with respect to the subject matter. All rights not expressly granted herein are expressly reserved. This Agreement shall inure to the benefit of Fusion Home Fashion's agents, licensors, licensees, successors, and assigns.
